Terms of Service

The terms that govern your use of CloudBiz websites, formation services, registered agent, EIN support, and the cloud dashboard.

These Terms of Service (“Terms”) govern access to and use of cloudbiz.cc, app.cloudbiz.cc, and the company-formation and compliance services offered by CloudBiz, a trade name of Gellum Inc. (“CloudBiz,” “we,” “us,” or “our”). Gellum Inc. is a corporation registered in the State of Colorado, USA. By creating an account, placing an order, or using the Services, you agree to these Terms and to our Privacy Policy and KYC / AML Policy.

If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity. If you do not agree, do not use the Services.

1. Who we are and what we provide

CloudBiz is a trade name of Gellum Inc., a corporation registered in the State of Colorado, USA. Through CloudBiz, Gellum Inc. helps founders outside the United States form New Mexico limited liability companies and manage related compliance from a cloud dashboard. Depending on the plan you select, Services may include:

  • Preparation and filing of New Mexico Articles of Organization
  • First-year registered agent service in New Mexico
  • Federal EIN application support
  • Operating agreement templates
  • Document storage and deadline tracking in the dashboard
  • Advisory consulting related to US business banking and Stripe onboarding

State filing fees are passed through at cost unless we say otherwise at checkout.

2. Not a law firm, bank, or tax adviser

CloudBiz is a formation and compliance-operations provider. We are not a law firm, certified public accountant, bank, money transmitter, or broker-dealer. Nothing on the website or in the dashboard is legal, tax, or investment advice. Bank and Stripe consulting is advisory only. We do not open bank or payment accounts for you, and we do not guarantee approval by any bank, the IRS, Stripe, or a state agency.

You remain responsible for how you use your company, for taxes, for licenses, and for advice from qualified professionals in your jurisdiction.

3. Eligibility

You must be at least 18 years old and able to enter a binding contract. You must use the Services only for a lawful business purpose. We may refuse, delay, or cancel an order if we cannot complete identity checks described in our KYC / AML Policy, if information is incomplete or inconsistent, or if we reasonably believe the request would violate law or these Terms.

You do not need a US residential address or Social Security Number to request formation. You must still provide accurate identity, contact, and company information.

4. Your account

You are responsible for the accuracy of information you submit and for activity under your account. Keep login credentials confidential and notify us promptly at hi@cloudbiz.cc if you suspect unauthorized access. We may suspend access to protect you, other customers, or the integrity of the Services.

5. Orders, fees, and refunds

Prices are shown at checkout in US dollars. Formation plans (Basic, Pro, and Premium) are one-time service fees plus applicable New Mexico state fees. Registered agent coverage after the first included period, expedite fees, and add-on work may be billed separately.

Because a large part of the work is filing with the state and third parties, fees are generally non-refundable once we have started processing or submitted a filing, except where required by law or where we cancel an order before filing because we cannot complete it. If a state rejects a filing because of an error attributable to us, we will refile at no additional CloudBiz service fee. If a rejection is caused by information you provided, name unavailability, or a third-party decision, additional fees may apply.

6. Your responsibilities

You agree to:

  • Provide complete and truthful information about owners, managers, addresses, and the intended business
  • Choose a lawful company name and business purpose
  • Cooperate with identity verification and document requests
  • Review filings and documents we deliver and tell us promptly if something is wrong
  • Maintain a valid email address for notices, including registered-agent correspondence we relay to you
  • Comply with New Mexico law, US federal law, and the laws of every place you operate

You authorize CloudBiz and its vendors to prepare, sign (where authorized), and submit documents to the New Mexico Secretary of State, the IRS, and other agencies as needed to perform the Services you ordered.

7. Registered agent

Where included, registered agent service provides a New Mexico address for service of process and official mail related to the company. It is not a virtual office, a place of business for licensing, or a mail-forwarding service for general correspondence. We will make reasonable efforts to notify you of official documents we receive. You must respond to legal process and government notices on time. Failure to keep your contact details current can put the company out of good standing.

8. Dashboard and documents

Documents in the dashboard are provided for your records. You should download and keep copies. We do not promise that the dashboard will be uninterrupted or error-free. We may update features as we improve the product.

9. Prohibited uses

You may not use the Services to:

  • Violate any law, including sanctions, export controls, or anti-money-laundering rules
  • Misrepresent identity, ownership, or control of a company
  • Form or operate a company for fraud, ransomware, unlicensed money transmission, or other illicit activity
  • Interfere with or probe the Services except as allowed by law
  • Resell our filings as if you were CloudBiz without a written partner agreement

We may refuse industries or counterparties that present unacceptable legal or reputational risk.

10. Intellectual property

The CloudBiz name, logo, website, dashboard, and original content are owned by us or our licensors. You receive a limited, non-exclusive license to use the dashboard for your internal business while your account is in good standing. You keep ownership of your company documents and the data you provide. You grant us a license to use that data solely to provide and improve the Services and to meet legal duties.

11. Third-party services

State agencies, the IRS, payment processors, identity vendors, and registered-agent partners are independent of CloudBiz. Their terms, processing times, and decisions are outside our control. Links to third-party sites are provided for convenience.

12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUDBIZ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that a filing will be accepted, that an EIN will issue on a particular date, or that a bank or Stripe account will be approved.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUDBIZ AND ITS DIRECTORS, EMPLOYEES, AND VENDORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICES WILL NOT EXCEED THE FEES YOU PAID TO CLOUDBIZ FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE THREE MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow certain limits; in those cases the limit applies to the fullest extent allowed.

14. Indemnity

You will indemnify and hold CloudBiz harmless from claims, losses, and reasonable legal fees arising from your company, your content, your breach of these Terms, or your violation of law, except to the extent caused by our willful misconduct.

15. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, fail verification, fail to pay, or if we are required to do so by law. Provisions that by their nature should survive (including fees owed, IP, disclaimers, liability limits, and indemnity) will survive termination. Registered agent coverage ends when the paid term ends unless renewed.

16. Changes

We may update these Terms by posting a new version on this page. The “Last updated” date will change. Continued use after the effective date constitutes acceptance of the revised Terms. Material changes to a paid service already in progress will not apply retroactively except as required by law.

17. Governing law

These Terms are governed by the laws of the State of New Mexico, USA, without regard to conflict-of-law rules. Courts located in New Mexico will have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction to protect intellectual property or confidential information.
